MAIN JOB DESCRIPTION |
DESCRIPTION Purpose of role This Legal Counsel – Administration and Governance role focuses mainly on corporate secretariate, governance, administration and procurement matters. The selected candidate will report to the General Counsel and Corporate Secretary.
PRINCIPAL RESPONSIBILITIES 1. Facilitate preparation of materials for Africa50’s statutory meetings such as General Assembly, Board and Committee meetings, including: 2. Notification of statutory meetings 3. Establish timelines for issuance of Board and Committee materials 4. Issuance of Board and Committee materials 5. Coordinate all meetings between Africa50 Directors and Management 6. Prepare and distribute/publish Board and Committee materials 7. Maintain and update the Board portal 8. Supervise the practical/logistical arrangements for the statutory meetings involving Africa50 Directors 9. Draft complete and accurate minutes and corporate resolutions in English and French 10. Communicate Board and Committee directives and follow up with relevant colleagues within Africa50 11. Issue relevant communication by the General Counsel and other colleagues to the Directors 12. Retain and safeguard Board minutes and follow-up actions 13. Assist the Corporate Office with any Governance matters such as Board evaluation, sourcing of external providers, updating terms of reference, etc. 14. Work with the Corporate Secretary and other colleagues to implement best corporate governance practices 15. Assist the Corporate Secretary in sourcing training programs for Directors 16. Ensure that the register of Shareholders is up to date, in liaison with the Investor Relations department 17. Review governance sections of any publication such as an annual report, pitch book, etc. 18. Assist the General Counsel in building and maintaining a strong relationship with Directors and other management team members for governance matters 19. Advise on other administrative, governance, institutional and HR matters 20. Draft, review and negotiate Africa50’s operational contracts, such as rental and utility agreements, contracts with major suppliers of goods and services 21. Be a liaison with Africa 50’s Investor Relations team in connection with Shareholder and board matters 22. Advise on international public law (including sovereign immunities issues and other issues relevant to international financial institutions) 23. Be a team player within the Legal team 24. Undertake such other duties and responsibilities as assigned by the General Counsel

REQUIREMENTS FOR THIS JOB |
CANDIDATE PROFILE Essential Qualifications and Experience 1. Advanced university law degree from an accredited institution (Juris Doctor, Masters or equivalent) in private or public law, international finance, commercial law, comparative and corporate law 2. At least four years of relevant experience. 3. Experience working as an in-house lawyer (ideally in the private sector or at DFIs) 4. Experience working on issues relevant to international financing institutions (such as sovereign immunities) 5. Fluent in written and spoken English and French

Strong interpersonal and analytical capabilities 4. Organizational and time management skills 5. Familiarity with the work of other multilateral and bilateral development finance institutions and the private sector

Excellent drafting skills and the ability to autonomously draft documents and correspondence that does not need further editing

Location This position will be based in Casablanca, Morocco.
