JOB DESCRIPTION
Three (3) year Fixed Term Contract. The Senior Legal Advisor will to proactively oversee the SHIP MO legal and regulatory activities to enable the development of student housing infrastructure. Also support the Head with all governance and compliance matters pertaining to the SHIP MO are adhered to, ensuring minimal reputational risk for DBSA, DHET and NT.

KEY RESPONSIBILITIES
TECHNICAL OUTPUTS
1. Drafting, reviewing and negotiation of commercial agreements
1) Drafting and critically reviewing of commercial agreements to ensure bankability and appropriate risk allocation.
2) Able to successfully conclude negotiations that require the development of an emotional as well as factual argument.
3) Provide legal advice to SHIP MO and the Oversight Committee.
4) Commercial structuring of infrastructure projects.

2. Developments of feasibility study reports for student housing infrastructure projects
1) Development feasibility studies undertaken on behalf of SHIP MO.
2) Critically reviewing feasibility studies undertaken on behalf of SHIP MO to ensure bankability of projects.
3) Overseeing the development study (legal and regulatory) activities undertaken by transaction advisors on behalf of SHIP.

3. Governance and compliance
1) Support the Head – SHIP MO with reporting and compliance to the Oversight Committee.
2) Development of legal and compliance strategy.
3) Compliance with governance processes per the DBSA.
4) Development of policies and procedures.

4. Procurement
1) Develop a procurement strategy and plan.
2) Procurement of student housing infrastructure facilities in line with the PFMA and other relevant legislation, including development of RFP documents and required governance submissions to SHIP MO, evaluating and adjudicating of bid proposals and obtaining approvals from relevant governance structures.
3) Support the SHIP MO in the procurement of goods and services.

5. Stakeholder engagements
1) Continuous interaction with DBSA internal resources
2) Support the Head – SHIP MO in his reporting and compliance to the Oversight Committee
3) Engagements with the DHET, National Treasury, Universities and TVET Colleges
4) Engagements with investors, developers, banking community, service providers, etc

REQUIREMENTS FOR THIS JOB
EXPERTISE & TECHNICAL COMPETENCIES
Minimum Requirements:
1. LLB degree or other relevant post graduate qualification
2. Admitted Attorney/Advocate of the High Court of South Africa
3. At least 8 years post qualification experience in Project/Corporate/Structured Finance transactions.
4. Large infrastructure project development experience (above R500 million).

Desirable Requirements:
1. A relevant post graduate qualification
2. Knowledge and demonstrable experience in the:
1) Post-school education and training sector;
2) Technical planning, demand and growth estimations, and planning aspects relating to infrastructure projects, finance
3) Spatial, geographic and demographic dynamics which impact infrastructure planning
4) Private Public Partnership infrastructure development experience
5) Planning of infrastructure in the water, transport, energy and ICT sectors related to buildings
