JOB DESCRIPTION 1. To proactively advise and support clients on the legal aspects of financing activities. 2. The Legal advisor supports the DBSA with timely legal advice on all financing matters including, contract, commercial, governance and regulation.
KEY RESPONSIBILITIES 1. Provide legal advice and support to DBSA’s business units specifically in Project Preparation, Finance, Supply Chain Management, Human Capital, ICT, Strategy, Communications and Marketing units. 2. Effectively communicate the risks and legal issues involved in a broad range of commercial transactions and operational issues specific to DBSA; 3. Draft/vet and review a variety of corporate legal contracts including services, consultancy, software/hardware support, lease, loan and grant agreements. 4. Provide general legal advice supply chain processes. 5. Direct negotiation with clients, strategic partners and service providers. 6. Manage litigation, including contractual disputes, recoveries, business rescue and incolvency processes. 7. Conduct research into legal issues relating to various corporate matters 8. Identify matters requiring specialist legal input, instruct and liaise with external attorneys/ counsel as necessary. 9. Conduct comprehensive legal due diligence investigations 10. Provide advice and make legal inputs into the drafting of Appraisal Reports. 11. Serve and participate in various credit committees of the DBSA 12. Prepare/review or negotiate full Term Sheets in respect of all projects with emphasis on project preparation transactions 13. Draft/vet and review a wide variety of complex legal documents and agreements 14. Provide substantial legal advice, support and opinions to various corporate support units of the DBSA 15. Ensure compliance with various legislation, policies and regulations 16. Monitor developments in the legal field and provide updates to colleagues and management 17. Assist in the execution and implementation of different projects from a legal and security enforcement perspective 18. Provide general legal support to the operational and corporate units of the Bank

REQUIREMENTS FOR THIS JOB |
EXPERTISE & TECHNICAL COMPETENCIES Minimum Requirements 1. LLB degree or other relevant post graduate qualification 2. Admitted Attorney/Advocate of the High Court of South Africa 3. At least 3 years post qualification experience with specialisation in general corporate, ICT, litigation, insolvency and/or business rescue proceedings 4. Experience in public procurement, Public Finance Managemeht Act and/or construction contracts will be an added advantage. 5. A minimum of 5 years’ experience gained at a commercial bank/specialist law firm/corporate or similar institution.
