JOB DESCRIPTION
1. This is a Three Year (3) Fixed Term Contract
2. The Senior Legal Advisor will be required to proactively oversee the Climate and Environtal Finance legal requirements for the Green Fund working closely with the Climate Unit.

KEY RESPONSIBILITIES
TECHNICAL OUTPUTS
1. Provide general legal support to the Green Fund and Climate Finance Unit of the DBSA
2. Assist Climate Finance Investment Officers in the structuring of various investment projects, with emphasis on climate finance and project finance transactions.
3. Collaborate and develop Climate Finance procurement documents to ensure that they adhere and align to compliance principles laid out in the following: The Constitution; National Treasury Supply Management Circulars, Directives and Guidelines; Supply Management policies; Public Finance Management Act (PFMA); Municipal Finance Management Act (MFMA); Preferential Procurement Policy Framework Act (PPPFA); Broad-based Black Economic Empowerment Act (BBBEE); Other applicable Procurement Laws and Public Law principles.
4. Provide legal opinions, draft and negotiate legal agreements and other legal documentation in respect of investment projects and programmes.
5. Review and draft agreements to facilitate that the business interests of the Climate Finance are protected and are legally sound.
6. Conduct advanced research into a wide variety of legal issues relating to various investment projects.
7. Provide advice and make legal inputs into the drafting of Appraisal Reports.
8. Serve and participate in various credit committees of the DBSA.
9. Prepare/review or negotiate full Term Sheets in respect of all investment projects with emphasis on project finance transactions
10. Draft, negotiate and provide advice concerning material agreements and oversee the review of non-material agreements to minimise risks and maximise legal rights in alignment with corporate risk procedures including grant, finance, consulting and security agreements.
11. Provide expert legal advice to business units across each phase of specific projects to create a sense of assuredness to investors and the Green Fund, including but not limited to: performing legal due diligences; evaluating transaction structures; developing and drafting legal documentation; mediating negotiations amongst various stakeholder parties; and providing the Green Fund with legal advice regarding the structuring of third-party service contractsLead negotiations with clients/co-Funders and stakeholders.
12. Draft/vet and review a wide variety of complex legal documents and agreements.
13. Provide substantial legal advice, support and opinions to various corporate support units of the DBSA.
14. Ensure compliance with various legislation, policies and regulations.
15. Monitor developments in the legal field and provide updates to colleagues and management.
16. Liaise with external attorneys and prepare comprehensive brief to attorneys where necessary and manage the transactions with external counterparts.
17. Assist in the execution and implementation of different investment projects from a legal and security point of view.
18. Provide advice on legal risks and complex legal matters and proactively provides solutions that consider multiple inputs, applicable risks and impacts.
19. Prepare brief and / or consult with external counsel / legal advisors on legal issues where necessary. Engage and manage outside counsel to ensure costs are within budget and supervise and coordinate work performed by outside counsel.
20. Knowledge sharing and on the job general legal training to other team members within Legal team and the wider Green Fund Fund personnel.
21. When and if necessary, manage, institute and defend legal proceedings on behalf of the Green Fund.

REQUIREMENTS FOR THIS JOB
EXPERTISE & TECHNICAL COMPETENCIES
Minimum Requirements:
1. LLB degree or other relevant post graduate qualification
2. Admitted Attorney/Advocate of the High Court of South Africa
3. At least 5 years post qualification experience in Project/Corporate/Structured Finance transactions.
4. Knowledge and demonstrable experience in drafting and negotiating agreements, litigation and debt recovery.

Desirable Requirements:
1. Climate Financing / Infrastructure project development experience
2. A relevant post graduate qualification
