Job Title: Senor Legal Officer [Nairobi/Abidjan/Abuja]

DEPARTMENT PURPOSE STATEMENT
The Legal Services Department (LSD) provides legal services to the Company in order to protect the Company’s interests in all its transactions with external parties, reduce legal and litigation risk and ultimately financial loss.

JOB PURPOSE
1. To primarily support business development and investor engagement through drafting, reviewing and engrossing legal agreements e.g. facility agreements, addendums, security agreements, inter-lender agreements, fundraising agreements, memoranda of understanding etc.
2. To give a pro-active professional, competent, (cost) effective and creative legal support.
3. Manage external deal counsels, in conjunction with the investment team during execution of transactions.
4. To bring negotiation and drafting skills and business sense to deal with multiple functional teams in a rapidly scaling business.
5. To attend and participate in working groups and appraisal missions.
6. To oversee compilation of conditions precedent and clearance of disbursement.
7. To participate in any internal committees, either ad-hoc or substantive.
8. To oversee and coordinate release and/or discharge of securities advanced by the Company either to borrowers or employees.
9. Provide compliance support and advice with respect to information barriers, restricted list reviews, inside information and thresholds.
10. Follow-up on the implementation of the provisions of the various financing agreements, including examination of documents, ensuring fulfilment of all preconditions, and recommending the declaration of effectiveness after ensuring that all its requirements are met.
11. Preparing periodic and annual reports required under the client’s policy.

6. Strong skills in drafting a variety of legal documents and communicating complex issues clearly and concisely.
7. You should be comfortable working in a fast-paced environment with broad, generalist responsibilities, but with specialist legal subject skills.
8. Take initiative to identify and analyze problems, generate alternative solutions and make decisions.
9. Ability to communicate and function in a culturally diverse and change oriented setting with good knowledge of project management practices in Africa and internationally.
10. Excellent organizational.
11. Ability to draft instantly minutes and reports.
12. Willing and able to relocate to Nairobi or any regional office of the client

REQUIREMENTS FOR THIS JOB
CREDENTIALS, KNOWLEDGE AND SKILLS
Academic & Professional qualifications required to perform effectively in this role
1. Bachelor’s Degree in Law (LLB)
2. Master’s degree in law or Finance or Banking Business or any relevant Master degree in connection with Banking Business.
3. Admission to the Bar.
4. Qualified in a common law or a civil law jurisdiction
5. Minimum of 5 years work experience with not less than 3 years in law firms.
6. Fully bilingual in English and French.

PREFERRED PERSONAL & PROFESSIONAL DEVELOPMENT REQUIRED TO PERFORM EFFECTIVELY IN THE ROLE
1. Experience in financial African market.
2. Experience in real estate.
