THE DEPARTMENT
The Legal Department is responsible for providing legal services to CDB. The Legal Department serves the entire Bank and, accordingly, provides services relating to both project and non-project activities. This will typically include services relating to lending, grant, guarantee and other financings, as well as advisory services and restructurings, resource mobilisation (borrowings, capital increases, replenishments, and funds under administration) and all administrative and institutional matters. In addition, the Department is responsible for making arrangements for the Bank to be represented in arbitration or other legal proceedings or matters in which the Bank may be interested. The Department has considerable interface with CDB’s Borrowing Member Countries (BMCs), lenders and development partners.

THE ROLE
1. The DGC reports to the head of the Legal Department, the General Counsel and Bank Secretary.
2. The DGC is responsible for day-to-day management of the Department, directing its resources to provide legal services for the rest of the Bank.
3. The DGC leads, coaches and mentors lawyers in the Department, ensuring that in relation to the operations of the Bank the negotiations and drafting of all Bank agreements are in compliance with relevant law and regulations and that CDB’s interests are protected and its activities are conducted in accordance with its policies, rules and procedures.
4. The DGC is also in charge of annual resource management, including budget preparation and administration along with developing annual work plans with a focus on innovation, efficiency and improving processes and services.
5. Specific additional responsibilities include serving on several committees.

KEY RESPONSIBILITIES
The job will require the DGC to:
1. Manage the day to day functioning of the Legal Department and assist the General Counsel in carrying out his/her duties and responsibilities as principal legal advisor to CDB.
2. Advise on the legal aspects of the Bank’ operations, its relations with the Government of Barbados (with special regard to the rights and obligations under the Headquarters Agreement), member countries, and CDB's staff and consultants.
3. Provide legal services in all areas of the operations of CDB, including corporate, human resources, administrative, information technology, financial matters (including borrowings) and project activities (including appraisals and loans) as well as to ensure compliance with CDB’s Charter, Headquarters Agreement, policies, procedures, rules and other obligations.
4. Manage a team of lawyers and legal professionals to ensure the effective delivery of legal services in all areas concerning assigned project and non-project activities as necessary.
5. Serve as a member of the Departmental Review Committee, attending review meetings and giving comments on project documents, observing accuracy, appropriateness, consistency and clarity.
6. Assist in providing guidance to management in its decision-making by interpreting and disseminating information on national and international legal trends and developments impacting on the Bank's activities.
7. Contribute to the fulfillment of the Bank's strategic plan and objectives by providing sound and creative legal approaches in support of operational strategy.
8. Provide legal services as principal legal advisor to CDB in the absence of the General Counsel.
9. Chair the Adjudication and Review Sub-Committee, dealing with routine papers from the independent areas and the Corporate Services area.
REQUIREMENTS FOR THIS JOB
SELECTION CRITERIA
Must have:
1. Hold a post-graduate degree in law or a degree in another discipline relevant to the job.
2. At least fifteen years’ working experience in the practice of law in the private and/or public sector, with significant experience in corporate finance, capital markets, project finance and derivatives experience.
3. A qualified Attorney-at-law, Barrister or Solicitor as evidenced by relevant qualification and practicing/able to practice in one or more of CDB’s member countries.
4. Substantial knowledge of, or experience with, the constituent instruments, policies and procedures of an MDB or prior work experience in a MDB or International Institution.

Desirable:
1. Working experience in the practice of law in one or more of CDB’s Borrowing Member Countries.
2. A general law practice, with experience in the negotiation and preparation of documentation with respect to matters relevant to CDB’s operations including international loan agreements, as well as familiarity with treaties and international institutions.

TERMS OF APPOINTMENT
This is a full-time position with the successful candidate being contracted on a two-year basis in the first instance, with the possibility of renewal. The salary is competitive and commensurate with qualifications and experience. A pension plan, life and medical insurances are included in the benefits package.
