FUNCTIONS & RESPONSIBILITIES
1. Provide legal advice, draft, review and negotiate agreements and other documents relating to corporate/project finance/capital market financing/ private equity/mergers & acquisitions/construction (JCT & FDIC standard forms)/ conveyance (Deeds of Assignment, Contracts of Sale, Lease
2. Agreements)/joint venture agreements/Public Private Partnerships/Service Level Agreements
3. Researching on general legal issues affecting the company’s business operations and provision of legal opinions;
4. Work closely with business units and senior management in providing hands on support in the area of legal and regulatory advisory services;
5. Managing litigation matters in conjunction with external solicitors;
6. Updating the unit’s library with laws and regulations affecting the company’s business operations;
7. Attending meetings as in-house counsel;
8. Liaising with external solicitors as required;
9. Provide company secretariat services as may be required;

Company Secretariat
Liaising with the Directors and Shareholders of the Company and its subsidiaries to plan meetings of the Company and its subsidiaries. These include meetings of the Board of Directors and General Meetings (the “Meetings”

Compliance
1. Supporting Group compliance in monitoring and ensuring compliance with Nigerian and Mauritian regulatory requirements pertaining to companies and Funds, as well as liaising with Nigerian regulators.
2. Handle any other legal matter as required by the Executive Director of Legal & Corporate Services

REQUIREMENTS FOR THIS JOB
SKILLS/COMPETENCE REQUIREMENTS
Required Knowledge, Skills and Abilities
1. Good knowledge of laws regulating operations of businesses in the country; particularly the construction, real estate, financial services sectors. Understanding of public private partnerships relating to real estate development and private equity.
2. Experience in cross border transactions.
3. Knowledge of Company and Allied Matters Act
4. Knowledge of Corporate Governance Code, SEC Rules and other Compliance Regulations

1. Must have led and supervised legal & company secretariat teams
2. Excellent communication skills, confident, with initiative, able to work independently as well as in a team, action oriented with ability to prioritize and manage varied and fast-moving workload; ability to think strategically and adopt problem solving approach to issues; demonstrates leadership with business clients and other colleagues; must have strong drive towards learning and self-improvement

PROFESSIONAL REQUIREMENTS
Qualification
1. LLB, BL;
2. LLM & MBA or Master’s Degree

Minimum Experience
7 to 10 years post call experience in corporate and commercial legal practice or well- structured international real estate/ construction/financial services organization or private equity fund.
