Department: Legal & General Counsel Reports to Head, Legal & General Counsel Location Nairobi, Kenya JOB PURPOSE The Legal Services Department (LSD) provides legal services to the Company to protect the Company’s interests in all its transactions with external parties, reduce legal and litigation risk, and ultimately financial loss.
KEY RESPONSIBILITIES 1. To primarily support business development and investor engagement through drafting, reviewing, and engrossing legal agreements e.g. facility agreements, addendums, security agreements, inter-lender agreements, fundraising agreements, memoranda of understanding, etc. 2. To attend and participate in working groups. 3. To oversee the compilation of conditions precedent and clearance of disbursement. 4. To facilitate engagement of external counsel through drafting and reviewing of instruction letters, engagement letters, non-disclosure agreements, etc. 5. To oversee contract management in the Company and compile a performance report every quarter. 6. To offer legal advisory to the Loans Committee, affiliate entities of the Company, and the various departments as may be deemed appropriate. 7. To assist in the preparation of weekly departmental plans, and meeting agendas, drafting periodic reports, and handling of department operations. 8. To participate in any internal committees, either ad-hoc or substantive as may be required. 9. To oversee and coordinate the release and/or discharge of securities advanced by the Company either to borrowers or employees and handling of other conveyance documents. 10. Case management of assigned files. 11. Other duties as may be assigned. KEY RESPONSIBILITIES (RESULT AREAS) 1. Actioning instructions from the Head, Legal Services Department. 2. Creating templates for various legal agreements. 3. Overseeing and coordinating the loan documentation processes, including safe custody of loan documentation such as security documents, insurance policies, and discharge of the security documents. 4. Drafting, reviewing, and engrossing service agreements with the various service providers. 5. Overseeing and coordinating engagement with the external panel of lawyers of the Company. 6. Overseeing and coordinating the disbursement process internally. 7. Management of Legal Risks and maintenance of the legal risk and compliance registers. 8. Maintaining of various departmental registers. 9. Drafting, amending, and overseeing execution and perfection of service contracts with the Company’s service providers.
