JOB GRADE : 15 DEPARTMENT: Legal, Tax, Commercial and Compliance REPORTS TO: Managing Director LOCATION Douala, Cameroon but requiring occasional domestic and international travel. MAIN PURPOSE OF ROLE For more than 20 years, the client has been a long-term investor, developer, owner and operator of diversified power projects in Africa, where the company is one of the largest Independent Power Producers., With nearly 1500MW of generation capacity in operation across 16 power plants in 7 countries, 488MW of new power projects in construction and >2,000MW in development, the client is one of the largest independent power producers solely focused in Africa. The client has a proven track record for supporting the ongoing development of the African power sector.
The client’s various generation technologies include gas, wind, solar PV, battery energy storage (BESS), and geothermal. The company is also actively pursuing new opportunities which are emerging from the energy transition, including desalination projects powered by renewables, as well as green hydrogen and ammonia projects.
The client is recruiting a Legal, Tax, Commercial and Compliance Director who will: 1. Manage full compliance of the businesses (local Cameroon entities) with all applicable contracts, licences, regulations and other legal requirements, as well as all applicable environmental, health and safety policies, laws and regulations; 2. Ensure proper reporting in relation to all requirements pursuant to the financing documentation and applicable laws and regulations; 3. Support the business in all commercial aspects (suppliers, costumers, stakeholders); 4. Assist in the corporate secretarial duties; 5. Manage insurance related matters and ensure full coverage; 6. Work on regulatory issues; 7. Ensure overall compliance with the Code of Business Conduct and all its aspects (policies, training, tools, reporting, investigations, etc…) 8. Deliver a full range of tax services in compliance with laws and regulations within timeframe (tax compliance, tax reporting, tax controversy)
MAIN RESPONSIBILITIES (this list is not exhaustive) 1. Assist in the development and implementation of relevant policies and procedures, including those relating to health and safety, environment, business integrity, corporate governance etc. 2. Manage obligations and exercise of rights under all Financing Documents and other relevant contracts and monitor and analyse compliance with all policies and procedures. 3. Prepare and submit the reports required under the Financing Documents and any other reporting requirements. 4. Ensure overall compliance with all applicable contracts, licences, regulations and other legal requirements, as well as all applicable environmental, health and safety policies, laws and regulations. 5. Provide assistance in discussions and negotiations with Lenders, contractors, Government officials and other stakeholders, prepare presentations and reports, administer meetings and circulate minutes of such meetings as required. 6. In consultation with external legal counsel provide the company secretarial duties and facilitate all Board matters. 7. Develop and implement appropriate management and board reporting procedures, including preparation of regular monthly reports for management and key stakeholders. 8. Maintain statutory records, filings, minutes of shareholders and board meetings and other required corporate records. 9. Maintain all insurance policies required by Cameroon law and the lenders and ensure full coverage. 10. Facilitate the provision of legal assistance/advice where required including but not limited to: 1) dispute assistance; 2) general contract assistance; 3) Assists other departments during various controls (Customs, CNPS, Tax, environment, etc.) 4) licensing; 5) project finance or other financial contracts; 6) development projects and construction management; 7) labour law matters. 11. Ensure compliance with the Code of Business Conduct in all aspects (review of and implementation of policies, training, tools & methodology, audits, etc…) 12. Assist for regulatory matters 13. Provide excellent planning, consulting and expertise 14. Provide innovative tax planning 15. Identify and mitigate tax risks 16. Manage tax provision and tax compliance process - Management of tax issues 17. Improve processes by developing or implementing fiscal best practices 18. Manage and coordinate tax audits 19. Maintain tax balances on general ledger, review of tax accounts 20. Prepare all tax papers in regular basis and handle all information data requests 21. Provide such other general management and administrative activities as may be reasonably requested in order that it may carry on its business. 22. Ad hoc responsibilities in support of the GCMS legal, commercial & compliance, as appropriate 23. Management of loan contracts with lenders ; 24. Reporting and the preparation of waivers. 25. assistance in negotiating contracts after tenders, etc.

EXPERIENCE, KNOWLEDGE & QUALIFICATIONS 1. Minimum of Law Master Degree in Law and Taxation 2. 8 years at least in a law firm or in-house legal, tax department 3. OHADA knowledge. 4. Strong experience in review and drafting of contracts 5. Strong experience in tax accounting, compliance, controversy 6. Experienced in in-depth legal analysis and case studies 7. Experienced with Excel, Word, PowerPoint, etc 8. Fluent in English and French
