ROLE OVERVIEW
1. The Counsel – Private Sector Investment & Treasury Operations will be responsible for providing legal and policy advice in relation to AIIB’s private sector investment operations and/or finance/treasury operations.
2. This role focuses on safeguarding AIIB’s interests, ensuring compliance with AIIB’s mandate, policies and procedures. Private sector investment operations include project financings, corporate loans and other loan products, direct equity and private equity investments, capital market investments, guarantees and other financing structures. Finance/treasury operations include funding instruments, derivatives, repos, liquidity management and other finance/treasury transactions.
3. The Counsel is also expected to collaborate across functional boundaries as assigned by line managers from time to time.
RESPONSIBILITIES:
1. Advise on AIIB’s policy mandate to ensure compliance with environmental and social standards and other policy requirements in the context of AIIB’s investments.
2. Coordinate and collaborate with other multilateral development banks (MDBs) and development partners to enhance AIIB’s investment and/or finance/treasury operations.
3. Provide high-quality legal and policy advice to the Investment Operations, Treasury, Controller, and Risk Management departments and other business units of the Bank.
4. Advise in the structuring of transactions, selecting and managing external legal counsel, drafting and negotiating transaction documents, handling signings and closings, and assisting with the legal aspects of project monitoring.
5. Support the development of AIIB's template legal agreements.
6. Conduct research, write and present on legal issues and draft and negotiate legal texts.
7. Promote innovative approaches, simplify processes, and work within AIIB’s internal legal framework.
8. Develop and maintain legal document templates to ensure adherence to best practices and applicable law and to define and reflect relevant AIIB standards and policies.
9. Demonstrate good judgment, accountability for work product and advice, contribute to institutional initiatives and advise on policies and procedures application.

| REQUIREMENTS FOR THIS JOB |
1. Minimum 5 - 8 years of relevant post-qualification practice experience, at least part of which was spent preferably at a top-tier international law firm.
2. Relevant professional experience with English law-governed financing agreements in one or more of the following fields:
1. Cross-border lending transactions involving taking of security.
2. Cross-border private equity and direct equity investments.
3. Cross-border capital markets transactions.
3. An understanding of the legal aspects of investment operations of multilateral banks.
4. Excellent command of English, including drafting and negotiating legal documents in English.
5. Ability to communicate with and convince internal and external stakeholders at a high level with appropriate legal solutions (including the ability to negotiate complex legal documents with counterparties).
6. Experience in working collaboratively in a cross-cultural environment.
7. Strong analytical skills and excellent legal drafting and legal advisory capabilities.
8. Intellectual leadership and strong interpersonal, diplomatic and partnership skills.
9. Ability to innovate while mitigating legal risk.
10. Superior level of resourcefulness, ability to work autonomously and under pressure.
11. Strong communication skills, including speaking persuasively and presenting ideas clearly.
12. Advanced law degree and qualified to practice law in at least one jurisdiction; candidates from civil law jurisdictions would ideally have a post-graduate law degree from a common law jurisdiction.
