MAIN JOB DESCRIPTION
REPORTS TO Manager, Legal & Compliance

UNIT Legal | Company Secretariat (Co-Sec) | Compliance
OBJECTIVE
Providing timely, effective and relevant support to the Legal, Company Secretariat and Compliance function across the Group and its (local and international) subsidiaries.

SUMMARY JOB DESCRIPTION
1. Providing effective support to the Company Secretary/Compliance Manager on all company secretarial related activities for the Group, including (but not limited to) ensuring smooth end-to-end conduct of Governance meetings (Board, Board Committees, Management Committees and Annual General Meetings).
2. Providing Co-sec cover for Group’s Corporate Finance Transactions
3. Management of Co Sec and Legal Data rooms
4. Proper oversight of physical and virtual document repository & statutory books
5. Providing support to the legal team in terms of advisory notes, contra review, negotiation, administration and management as well as legislation monitoring
6. Supporting Group compliance in monitoring and ensuring compliance with jurisdiction specific regulatory requirements and key stakeholder management.
7. Any other duties as may be assigned by Line Manager.

REQUIREMENTS FOR THIS JOB
SKILLS/COMPETENCE REQUIREMENTS
Required Knowledge, Skills, and Abilities
1. Good legal research/ legal drafting skills and knowledge of corporate
2. law, corporate governance codes, SEC Rules, AML/CFT and general compliance
3. regulations.
4. Able to plan and work strategically, proactively and independently, but also as part of a team.
5. Excellent writing skills and comprehension skills, with close attention to detail.
6. Excellent communication, interpersonal and organizational skills.
7. Able to multitask and work with minimal supervision.
8. Proficient use of Microsoft Office Suite

PROFESSIONAL REQUIREMENTS
Qualifications
1. Bachelor of Laws (LL.B)
2. Barrister at Law (BL)
3. A recognized professional certification will be an added advantage.

Minimum Experience
6 to 9 years post call with preferably 4/5 years practical company secretarial and compliance experience in a well-structured international real estate/construction/financial service organization or nominees/company secretarial practice of mid to large sized law firm.
