TDB VOLUNTEER PROGRAM VACANCY Established in 1985, the Eastern and Southern African Trade and Development Bank Group (TDB Group) is a multilateral, treaty-based, investment-grade development finance institution, with 41 sovereign and institutional shareholders and assets of approximately USD 10 billion. The TDB Volunteer Program is an initiative of TDB Group whose aim is to promote volunteerism as a mean for expanding and diversifying the talent pool available for the advancement of sustainable development in TDB Group's Member States. The TDB Volunteer Program seeks to attract qualified and highly motivated volunteers who are passionate about development finance, with outstanding technical, professional and leadership qualities, to support the work of TDB Group through its various constituent business units and affiliated institutions. TDB Volunteers are not TDB Group staff members. They are neither subject to the TDB Group Staff Manual (The Staff Rules, Regulations and Conditions of Services) nor to the pay, benefits, or other conditions contained therein. They are nevertheless TDB personnel and are governed by the terms of the Conditions of Service for TDB Volunteers (CSTV), including any amendments that may result from future revisions of the CSTV. Interested and qualified candidates who are nationals of TDB Member States are, therefore, invited to apply for the subject position, under the TDB Group Volunteer Program. JOB SUMMARY The Associate Counsel (National TDB Volunteer) provides legal, administrative, and technical support to more senior lawyers in the Legal Services Department to advance TDB Group's operations, protect its interests, and mitigate legal risks.
DUTIES AND RESPONSIBILITIES The key roles and responsibilities of the Associate Counsel include but are not limited to: 1. Supporting senior lawyers in the Legal Services Department with all aspects of legal due diligence, to identify and mitigate potential legal risks, and adhere to TDB Group's policies. 2. Supporting all aspects of TDB Group's legal dispute resolution processes (litigation, mediation, arbitration, settlement negotiations, facility restructuring), to manage the Group's risks, minimize losses and enhance recoveries. 3. Supporting with the taking, perfection and enforcement of collateral (administration, receiverships), to manage risks, minimize losses and enhance recoveries in the Group's lending activities. 4. Supporting various technical and clerical tasks in connection with the management and the closing of transactions handled by the Legal Services Department (e.g., producing documents, making, and receiving phone calls, and preparing and sharing correspondence, routing of documents, processing instructions and invoices from external counsel, etc.). 5. Preparing and processing legal documents for review and finalization by senior lawyers in the Legal Services Department, to enhance the efficiency of the Department's operations. 6. Drafting routine documents under supervision of more senior lawyers (e.g., non-disclosure agreements). 7. Maintaining up-to-date monitoring checklists for transactions being handled. 8. Monitoring pre-disbursement checklists and ensuring proactive engagements between various departments to ensure timely issuance of certificate of effectiveness. 9. Maintaining legal files (both hard copy and electronic format) in accordance with the applicable Bank policies. 10. Conducting legal research to assist with the preparation of reports, case files, or legal advice. 11. Supports arranging meetings, preparation for meetings, and follow up tasks after meetings, to support the day-to-day activities of the Department. 12. Supporting activities of the Legal Services Department's Collateral Management unit. 13. Supporting various operation-related projects and initiatives in the Department.

QUALIFICATIONS AND COMPETENCIES 1. A minimum of a Bachelor's Degree in Law (LLB) from a recognized institution. Possession of Juris Doctor's degree or a Master's degree in Law (LLM) as added advantage. 2. Qualification to practice law in any jurisdiction relevant to the Bank's business or in any of the Bank's member countries with membership of relevant professional body such as bar association or law society. 3. A minimum of 5 years of relevant experience. 4. International work experience in a commercial, financial, or legal advisory institution and/or public sector financial body (e.g., international law firm, multinational corporate, bank, insurance company, investment advisory firm, DFI, Ministry of Finance, National Treasury, Sovereign Wealth Fund) is an added advantage. 5. Proven track record and experience as a banking, finance, and corporate lawyer. 6. Work experience in fund formation and fund management is an added advantage. 7. Strong legal drafting, problem solving, negotiation, organizational and planning skills with the ability to work in a multi-cultural environment, manage dynamic priorities, and work under pressure to deliver on strict deadlines. 8. A result-oriented individual with excellent communication, facilitation, and interpersonal skills. 9. Fluency in English is a requirement for all Associate Counsels.
NATIONALITY The Associate Counsel must be a citizen of the duty station country.
