JOB OVERVIEW 1. Reporting to the Chief, Corporate Secretary, this position is responsible for the execution of secretarial functions pertaining to the Board of Governors, Board of Directors and Board Committees. 2. The incumbent will support the secretariat services being rendered to the Board and other stakeholders while ensuring efficient and effective communication.
SPECIFIC RESPONSIBILITIES include, but not limited to: 1. Support communication and engagement between the Bank’s management and the Board of Directors and between the Board of Directors and the Board of Governors, under guidance and direction of the Chief, Corporate Secretary. 2. Edit and review all documents that are circulated to the Board. 3. Draft Minutes and Summaries of Board meetings. 4. Prepare meeting notification, correspondence and agenda material. 5. Assist in secretarial functions for Board of Governors, Board of Directors and Board Committees meetings. 6. Act as one of the contact points and assist in the planning and organization of the Annual Meetings, Board Meetings, Retreats, Executive Committee meetings, Board seminars, etc. 7. Continuously monitor and report compliance with Articles of Agreement and all rules and procedures related to the Board of Governors and the Board of Directors. 8. Maintain proper documentation of corporate records management and records keeping of the Board procedures and all related to the Board matters and the Bank’s governance. 9. Ensure high-quality communications, event planning, and project management related to the Board matters. 10. Provide support in the management of stakeholders relations, information flow and communications related to various stakeholders. 11. Other duties and responsibilities assigned from time to time.

REQUIREMENTS FOR THIS JOB |
POSITION REQUIREMENTS: 1. Minimum of 9 years of relevant professional experience in a multilateral development bank or government or regulated private/public sector financial institution or a large corporate enterprise in secretarial or related functions. 2. In-depth knowledge of Board Governance framework is a pre-requisite. Legal experience would an added advantage. 3. Exceptional problem solving, communication, and interpersonal skills with high resilience and drive in achieving objectives and goals. 4. Exceptional verbal and written communications skills, including written skills of drafting notes, minutes and summaries. 5. Relevant experience in a multi-cultural work environment fostering a climate of teamwork and collaboration. 6. Master’s Degree or equivalent in a relevant professional field from a reputed university or a professionally qualified Company Secretary or a professionally qualified accountant.
